New Venture Brokerage CJSC helps clients attract financing by issuing and placing both equity and debt instruments. With the support of our experienced and qualified team, clients will be able to raise funds through private and public placement offerings, including initial public offerings (IPOs).
The company offers to Armenian and foreign companies the folowing services in relation to issuing and placing securities.
- Providing advice on the terms of issue of securities /class, term, nominal value, collateral, risks, feasible price, etc./;
- Analysis of the financial and economic condition of the issuer, assessment of the issuer’s creditworthiness, assessment of the feasibility of the investment project;
- Analysis of the securities market, study of investment instruments offered on the market, identification of investors' expectations;
- Collection and due diligence of documents and information required for issue;
- Supporting the process of securities issue;
- Preparation of securities offering document (term sheet, offering memorandum, prospectus, indenture, etc.),
- Identifying potential investors and carrying out negotiations with investors;
- Placement of securities on a best-efforts basis through exchange auction or subscription.
- Providing Registry keeping and custody services.
